Terms of Service

1. Acceptance of Terms

By accessing or using BloomBid ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including florists, event designers, and their team members.

2. Description of Service

BloomBid is a cloud-based proposal and pricing platform designed for floral and event design businesses. The Service allows users to create professional proposals, manage a price book, share proposals with clients, and collect client approvals.

3. Your Account

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must provide accurate, complete information and keep it up to date. You must be at least 18 years old to use the Service.

BloomBid uses Clerk to manage authentication. By creating an account, you also agree to Clerk's terms of service and privacy policy.

4. Subscription Plans and Billing

BloomBid offers two plans:

• Free: Access to core features, limited to 3 proposals at a time. No payment required.
• Pro: Unlimited proposals, templates, mood board, and custom branding. Billed at $29 per month.

All payments are processed by Stripe. By subscribing to Pro, you authorize BloomBid to charge your payment method on a recurring monthly basis. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period with no prorated refunds.

We reserve the right to change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, copy, or redistribute any portion of the Service without permission
• Upload malicious code, viruses, or any content that could harm the Service or other users
• Impersonate another person or entity
• Use the Service to send spam or unsolicited communications

6. Your Content

You retain ownership of all content you upload or create through the Service, including proposal text, images, and price book data ("User Content"). By using the Service, you grant BloomBid a limited license to store, process, and display your User Content solely to provide the Service to you.

You are solely responsible for your User Content. BloomBid does not review User Content and is not responsible for its accuracy or legality.

7. Intellectual Property

The Service, including its design, software, and original content, is owned by BloomBid and protected by applicable intellectual property laws. These Terms do not grant you any right to use BloomBid's trademarks, logos, or branding.

8. Termination

You may stop using the Service and delete your account at any time. BloomBid may suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. BLOOMBID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLOOMBID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOMBID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF BLOOMBID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BLOOMBID'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO BLOOMBID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above and, for material changes, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in a court of competent jurisdiction, as applicable.
